In order to strengthen the strategic cooperation between China Petroleum Group and China Petrochemical Group Co., Ltd. (referred to as Sinopec Group for short) and optimize China's petroleum equity structure, China Petroleum Group intends to transfer 1.83 billion A shares held by China Petroleum ( 1%of the total share capital of PetroChina) transferred to Sinopec Group.

Before this unpaid transfer, China Petroleum Group held 148933827108 A shares of China Petroleum, accounting for 81.38%of China Petroleum's total share capital. Sinopec Group did not hold any shares of PetroChina.

After the completion of this free transfer, China Petroleum Group will hold 147103617108 A shares of China Petroleum, accounting for 80.38%of the total PetroChina share capital; Sinopec Group will hold 1.83 billion A shares of PetroChina, accounting for the total PetroChina Petroleum. 1%of the share capital.

This unpaid transfer will not lead to changes in the controlling shareholders and actual controllers of PetroChina. This unpaid transfer needs to obtain the approval of the State -owned Assets Supervision and Administration Commission of the State Council.
