On July 21, 2022, the New Third Board Enterprise Shaanxi (838687.NQ) issued an announcement for the purchase of assets and related transactions.

The announcement shows that in order to completely solve the problem of interbank competition, the company intends to acquire Huayin Tongyuan Natural Gas Co., Ltd. (hereinafter referred to as "Huayin Tongyuan" or "Target Company") held by Huayin City Co., Ltd. %Of the equity, acquired 30%equity of Huayin Tongyuan held by Fuping County Tongyuan Natural Gas Co., Ltd., a total of 100%equity of Huayin Tongyuan, with a total transaction price of 2.248 million yuan. After the completion of this acquisition, Huayin Tongyuan will become a wholly -owned subsidiary of the company.

The company's total assets of consolidated financial statements in 2021 were 647,266,640.61 yuan, and the audited net assets were 384,013,452.80 yuan. Huayin Tongyuan's total assets of 2021 were 1,339,239.34 yuan, and net assets were 1,026,677.90 yuan; with December 31, 2021 as the evaluation benchmark date, the evaluation value was 2.1248 million yuan.

This time the company acquired 100%equity of Huayin Tongyuan for 2.1248 million yuan, and did not meet the relevant standards related to the above major asset reorganization. Therefore, this transaction does not constitute a major asset reorganization.

On July 19, 2022, the company held the sixth meeting of the third board of directors to review and approve the "Proposal on the Proposed Assets and Related Transactions". Matters do not need to be submitted to the shareholders' meeting for review.

Shaanxi shares said that the transaction can further expand the company's business scope, reduce potential affiliated transactions, and promote the further development of business.
